These Terms of Supply govern all wholesale quotations, Proforma Invoices, purchase contracts, and deliveries between Machine Trade LLC (“Supplier”) and the purchasing entity (“Buyer”).
1. Orders & Proforma Invoices
Offer Validity: Commercial quotations and Proforma Invoices (PI) remain valid for 14 calendar days from issuance, unless ocean freight rate adjustments necessitate early revision.
Order Confirmation: An order is deemed binding only upon the Buyer’s countersignature of the Proforma Invoice and receipt of the contracted advance deposit.
Minimum Order Quantity (MOQ): Standard export orders require a minimum of one full pallet (LCL) or one 20ft container load (FCL), depending on product classification.
2. Pricing & Currency
Currency: All transactions, invoices, and settlement accounts are denominated in United States Dollars (USD) unless explicitly agreed in writing.
Price Basis: Prices quoted represent factory gate, FOB Port Qasim/Karachi, or CIF/CFR destination port as designated on the individual Proforma Invoice.
Exclusions: Quotes exclude destination customs duties, import tariffs, demurrage, destination port handling charges (DTHC), and inland delivery beyond the designated discharge port, unless otherwise agreed under DDP terms.
3. Payment Terms
Standard Terms (T/T): 30% advance deposit via Telegraphic Transfer upon signing the Proforma Invoice; remaining 70% balance due upon presentation of non-negotiable ocean Bill of Lading (B/L) copy and packing list.
Letters of Credit (L/C): Accepted for recurring or multi-container orders via an Irrevocable, Confirmed Letter of Credit payable at sight through a prime international bank. All opening and amendment banking fees outside the Supplier’s domicile remain the Buyer’s responsibility.
Production Hold: Factory extraction, cutting, and private-label printing commence solely after verified receipt of the initial deposit.
4. Production Lead Times & Delivery
Manufacturing Schedule: Standard production averages 15 to 25 business days from deposit confirmation and packaging artwork approval. Full container load (FCL) lead times scale based on custom cutting requirements.
Incoterms Rules: Freight delivery conforms to the Incoterms® 2020 rules stated on the Proforma Invoice.
Force Majeure: The Supplier is not liable for dispatch delays resulting from natural disasters, port strikes, maritime blockades, raw material quarry embargos, or governmental trade restrictions beyond reasonable operational control.
5. Packaging, Natural Variance & Specifications
Mineral Variance: Himalayan rock salt is a natural, unrefined geological resource. Natural variations in color (ranging from white/peach to deep ruby red), internal crystalline veining, and surface striations are inherent characteristics and do not constitute defect.
Dimensional Tolerances: Sawn items (architectural tiles, cooking slabs, bricks) adhere to an industrial cutting tolerance of $\pm 2\text{ mm}$ in thickness, width, and length.
Packaging & Palletizing: Products ship in desiccant-protected master cartons loaded onto ISPM-15 certified, heat-treated wooden export pallets or crates suitable for international container freight.
6. Inspection, Claims & Quality Assurance
Pre-Shipment Verification: Buyers may appoint independent third-party inspectors (e.g., SGS, Bureau Veritas) at the Supplier’s extraction or packing facility at Buyer’s expense prior to container stuffing.
Transit Damage & Breakage Allowance: Due to the brittle crystalline structure of raw rock salt during maritime handling, an industry-standard breakage allowance of up to 3% per shipment is recognized.
Claim Submission Window: Formal claims regarding short-shipment or out-of-spec dimensions must be submitted in writing within 10 calendar days of container discharge, accompanied by the container seal record, official damage surveys, and high-resolution photographic evidence.
7. Title & Risk of Loss
Risk Transfer: Risk of cargo loss or transit damage transfers to the Buyer in strict accordance with the agreed Incoterm (e.g., once cargo passes the ship’s rail at Port Qasim under FOB terms).
Retention of Title: Full ownership and legal title of goods remain with Machine Trade LLC until the invoice balance is collected in cleared bank funds.
8. Governing Law & Dispute Resolution
Jurisdiction: These terms and any associated sales contracts are governed by and construed under international commercial trade principles and the laws of the Republic of Armenia.
Arbitration: Any dispute failing amicable settlement within 30 days shall be referred to and finally resolved by binding commercial arbitration in accordance with standard international arbitration rules.
